Host network adapter stops working

I have a Dell Latitude 640 running Windows XP Pro.  When I install Virtual PC 2004 the host network adapter stops working.  If I uncheck or uninstall the virtual machine network service, it works again.  I have tried several things found in the KB and this group (re-install the service, reinstall VPC, update network drivers, diable TCP offload, diable personal FW and AV and reinstall, reinstall as local admin). . .nothing seems to work.

Any ideas?

I have a Dell Latitude 640 and have never had such problems.  Can you think
of anything special about your setup that might be causing problems?
