Host PC network adapter unavailable

I have a Dell Latitude C640 running Windows XP Pro.  When I install Virtual PC 2004, the network adapter can't access the local network.  If I disable or uninstall the virtual machine network service, the network adapter works again.  I've been through several KBs and posts in this group (reinstall the service, reinstall VPC, update network drivers for the 3com nic, disable TCP offload, install with personal FW and AV turned off, install as local admin). . .nothing has helped.

Any more ideas?
