Could it be that you simply have an Update but a full version?

vmware fusion 1.0 on osx... trying to install XP from msdn subscription DVD, same problem... i tried about 10 different keys... some of them tested working by myself.... cant resolve it.... deceiving

Your text is a little confusing. What operating system and service pack
level are you installing in the VPC guest? Is the cd you are using a retail
cd? Is the product key the one that came with the cd or is it an MSDN pk?

VMWare Fusion is not virtual PC, it is probably better to ask on the
VMWare forums or maybe on the specific newsgroup for vpc on the mac.

It appears you've attempted to install an OS in virtual PC, as well as in
VMWare and in both cases got the message that the CD key is not valid. Have
you tried installing the OS on a physical box? Did you get the same result?
Is it the same disk that is failing, or is it different disks. Did you burn
the CDs yourself from the iso downloaded from MSDN?
Obvious problems that come to mind are:
1) CD Key isn't the correct one for the CD you have (Duh, no kidding)
2) CD is corrupt
