You can just insert the CD and it will let you upgrade your existing system.

You do not have to erase anything and their is nothing to download until
installation is complete. At this time you would want to visit windows
update and apply all the security updates at least.

Note: A clean install (I.E remove the old operating system and reinstall
from scratch may be preferred)
