backup any data you need
then do a clean install by formatting your drive from within the install

XP won't upgrade Win95, but Win95 is a qualifying product for the XP
Upgrade disk. That means you'll have to remove your Win95 system from
your disk before installing XP. Then, when the XP Upgrade disk asks
for proof of a qualifying product, you put your Win95CD into the
drive. Once the installer sees that, it will continue and install
Windows XP.
Before doing this, make certain that your hardware will support XP. If
your machine is old enough to be running Win95 there is a very strong
chance that it will not be able to handle XP.

upgrade to XP but I am cautious to do so as 95 is listed
on XP upgrade page as NOT an upgrade qualifier. Can you
please clarify.
If I can be really cheeky and ask an associated question,
I also have laptop with W98, but no CD. How can I upgrade
that?
Thanks for your advice
