recognizing a cd

I am trying to install an ethernet card from Netgear and
the software (cd) will not load. HOw do I load this
manually?

The title of your message says "recognizing a cd". Are you saying that
the system does not recognize any CD-ROM or that it does not recognize
this specific CD-ROM? Can you see the CD-ROM drive in "My Computer"?

As I read your message, it seems possible that your mean that the
installation CD-ROM does not run automatically. In this case, I would
go to "My Computer" and double-click on the CD-ROM drive (probably
D:). I would then look at the files on the CD-ROM, expecting to see
one named "setup.exe" or similar. I would then double-click on
setup.exe.
