Is it true Microsoft offers a free windows 98 upgrade? I
was told by SBC Ameritech that you offered a free upgrade
for people still using windows 95. If this is true how do
I go about getting it? Or how can I get a copy of windows
98 not many stores carry it any more & my PC can't handle
ME or XP.

False.

Try eBay or any store that can sell you a copy. Copies are getting
scarce.
