Windown 98 won't shutdown

Windows 98SE won't shutdown. Gets as far as "Windows is shutting down"
then just sits there. Does anyone know what files are associated with
the shutdown procedure?  Can anyone help?

>You still have an active program.  I would bet that it is
your cable/other modem.  Disconnect it andd try the
shutdown.  I must unplug mine to get it to shutdown
