Run the Network Setup Wizard on the XP machine -- that's usually all
that's needed to remove the IPC$ prompt. Don't run the Wizard on Win
98, even if it tells you to.
If that doesn't solve the problem, type this line at the XP command
prompt to make sure that the Guest account is enabled for network
access:
net user guest /active:yes
If that doesn't do it, remove any network password from the Guest
account:
1. Click Start | Run.
2. Type "control userpasswords2" in the box and click OK:
3. Click Guest.
4. Click Reset Password.
5. Click OK without entering a new password.

well tried all the fixes and the pw box still shows up on the Win 98

Does your XP computer run XP Professional, not XP Home Edition? If
so, it's possible that you've disabled simple file sharing, which
causes access to shared disks and folders to work differently.
In that case, create a user account on XP Professional that has the
same user name and password that you use to log onto Win 98. That
will give access without the IPC$ prompt, provided that the "Everyone"
