Back up all your  data  from '95, run  fdisk from the  win98  boot diskette,
say yes  to  large  disk support, remove  all partitions and  create at
least  a primary  DOS partition then reboot and  format  C: .
MS KB article 255867 explains  how  to  do this.
Next  restart your  PC with the  win98 boot diskette and the  win98 CD in
the  drive, setup will launch automatically, if  not, then you  will have
to  change  drives and  CD to  the  win98  folder  on the  CD.

Tip: your  boot diskette may install a RAM drive -making  your  CD letter
one  higher, also if  you  have  more  than one  partition D: will not  be
the  CD letter, adjust  to suit  your  setup.

EG: PC  boots  to the  A:\> prompt  when you start the  PC   with a  boot
diskette on a  single  partitioned  HDD so enter  these  commands  as  shown

A:\>
A:\> D:  <enter>
D:\>
D:\> CD win98  <enter>
D:\win98:\> setup  <enter>
