"error loading vga.drv"

I UPGRADED MY SYSTEM TO:

Processor Pentium 4 3.0 (retail box)
Motherboard MSI PT880 Neo
Memory 512MB PC3200
Hard Drive Western Digital WD800JB $61
Graphics ATI Radeon 9800 Pro 128MB $204
and am trying to load win98 so I can use an upgrade CD winxp.

The hardware works and my boot disc works but when I use my
retail win98 CD it stops at "error loading vga.drv"
Can you help?

I have fdisk-ed and formatted. I have extracted the vga.drv
to c:

Win98 setup always stops at  "error loading vga.drv"
