himem.sys error with WIN98 startup disk

Am attemping to install Win98 on older PC using a win98 bootdisk and WIN98
CD.  Have 96 KB memory; loading as 640K base and rest extended.  Setup goes
through scandisk and then I'm receiving the following error:  "standard mode
cannot run because of a problem with your extended memory manager.  Try
reconfiguring your memory manager, or replacing it with HIMEM.SYS.  If you
are using HIMEM.SYS, you need to reconfiugure it or obtain a newer version."

I've checked config.sys on bootdisk.  It does contain the DEVICE=himem.sys
line.

This instruction requires that HIMEM.SYS be on A:
Is it?

Corruption of C:\Windows\HIMEM.SYS may be the
commonest cause of faillure to boot from the hard
drive, easiest remedied by having a spare copy on
a write-protected boot floppy, ready to copy over.
But you probably have backups in C:\Windows\Command
or in your EBD folder.

Try creating a new boot disk.

Create a bootdisk by inserting the Windows CD in any computer running Windows (such
as a friend's or one at the library), cancel setup if it starts, then browse the CD
to the \tools\mtsutil\fat32ebd folder, and double-click the file namedfat32ebd.exe,
and follow the prompts.  Use the boot diskette it creates to boot your computer, and
format the hard drive using the command:
format c:
Don't use the /s switch if you are installing from the CD.

Post back if you still get errors.

Created, booted from the fat32ebd disk; formatted c:.  Got the following
error when tried to install Windows 98SE:  
Standard Mode:
Unkown stack in fault dispatcher
Fault:  0044 Stack Dump  1163 1E30 0053
