Your Windows 98SE license is for a single installation on a single
computer. If you are no longer using that license on any computer and
it is not an OEM version then you could use it to upgrade your
brother's computer.
OEM licenses are permanently locked to the first computer that they
are installed on and cannot be legitimately moved to another computer
under any circumstances, even if the original computer is lost,
stolen, destroyed, or scrapped.

No, it is not OEM version as far as I can tell. How would I go about the
upgrade, please? I install the CD in the drive and it runs autorun.exe
displaying 4 menus; "Interactive CD Sampler", "Cool Video Clips", "Browse
This CD" and "Add/Remove Software."

Browse the CD and look for a file named SETUP.EXE. Double click on it
and the install process should start.
