defrag will not complete,what programs are running ,have
none running ,best to my knowledge,also cannot get a dial
up connection,any advise

Probably a good idea to keep the questions in the same
thread.

DEFRAG: Have you tried to do it in Safe Mode?

DIAL-TONE: Check your phone line, lift up the receiver to
make sure you have a tone.  If you have a tone, then from
where the comp is plugged into the wall, try a working phone
there. If you get a tone, plug the comp line back in and
trace it back to the computer to make sure it is plugged in.
Then softwarewise I would check to make sure that the modem
somehow hasn't been disabled/uninstalled/fried from a
lightning strike.  If a lightning strike took out your
modem, there is a good chance that it may have fried some
other circuits as well.

Try restarting windows in 'safe mode' and then run defrag
