I've been told that to install frequent freeze-up problems
I need to re-install Windows ME.  Problem:  I've got the
upgrade only, and I don't have the CD or product code
anymore.  All I've got is the "Certificate of
Authenticity" from the label.  Do I have a prayer of re-
installing?

You'd be better off fixing your problem - often this type of problem is not
fixed by a reinstall.

If you're set on a reinstall - look here for instructions on an over-the-top
reinstall
