This looks like the stub left behind after a virus infection (there's no
such file in ME) - delete the file while in Safe Mode, open MSCONFIG, and
click on the Startup tab, click on Cleanup, and OK - windows will reboot,
and you shouldn't get the error message any more.

I don't think you want to look too hard for vxdmgr32.exe as it was almost
certainly a worm of some sort and not part of Win Me.. Many worms use that
name with one example being W32.Bamboo. For more details see
http://securityresponse.symantec.com/avcenter/venc/data/w32.bambo.html . What
did you preferred anti virus application have to report when you last scanned
your system?
I suspect that what has happened is that your AV application has removed the
file but left the entry launching it still in the registry. Use MSConfig and
look for and uncheck any entry on the Startup tab that refers to vxdmgr32.exe.
