I've tried to add the /3GB switch to the bootini file, but the computer does
not start then.
Also tried to add /PAE wich works, but when adding 3GB system does not
start.
CPU is an Intel P4.
Anyone has a clue?

Have you checked the motherboard manual about whether it can handle 4GB of
RAM? Having XP and a P4 is good, but not sufficient.

Yes, the motherboard handles up to 4 GB.
It's a ASUS P4P800-E

/3GB should be no problem. We use it on W2K3 servers and a
couple of XP/SP2 machines.
