win-xp error message during shutdown

during shutdown my laptop with Win XP gives following message realted to
reference memory the code:0x747C4F31.WHAT DOES IT MEAN HOW TO RETIFY IT?

as requested i am giving the exact message appearing :

“The instruction at 0x747C4F31 referenced memory at 0x00000000C.The memory
could not be read.
Click OK to terminate the program.”

Something running in the background at the time you are shutting down is
causing the problem. [You should close all open programs before you
shutdown your computer and remove any disks in disk drives.]

Event Viewer may provide the answer or some valuable information.

See especially "How to interpret an event"

Something else to try is to start your computer in Safe Mode and then
shutdown normally. If you don't have the problem, then something
starting with your computer is probably causing the problem.

Can you please post a complete copy of the Error Report i.e. one with
all the bels and whistles?

A tip for posting copies of Error Reports! Run Event Viewer and double
click on the error you want to copy. In the window, which appears is a
button resembling two pages. Click the button and close Event
Viewer.Now start your message (email) and do a paste into the body of
the message. Make sure this is the first paste after exiting from
Event Viewer.
