XP halts during installation; reboot no help

repartitioned HD, reformated, scanchecked, started installation of XP
from CD, setup copying files to first reboot by setup, no errors;  than
after reboot, goes through collecting information, dynamic update,
preparing installation, and stalls on installing windows; hot rebooted
(ctl+alt+del no go) few times, no change.
any input appreciated;  HD dying?, corrupted files on CD?, mobo?, have
run some test on RAM -passes O.K

forgot to say: XP has been running on this machine, this was just fresh
reinstallatinon, no hardware changes
