Microsoft says, the two OS are so similiar in some areas the two OS conflict
with one & the other during the pro install.Hence, microsoft only recommends
a clean pro install although pro has been installed on top of home w/o
conflicts..

Oh shut up Andrew!  Instead of spewing your nonsense why don't you
provide concrete proof (in the form of links to Microsoft literature)
that supports the upgrade notions in your confused mind.  Once and for
all if you cannot provide proof to your claims STFU!

The reason the OP can't upgrade is because he is using an OEM version,
and, as explained by Nepatsfan, OEM versions cannot do upgrades.

By design, an OEM XP installation CD is only capable or performing a clean
installation. It's meant to be distributed with a new PC which has no operating
system installed. Says so right on the booklet that comes with the CD.

In order to upgrade from Home to Pro you would need a Retail copy of XP. The
Upgrade version of XP is only available as a Retail item. The Full Retail
version of XP can be used to perform an upgrade as well as a clean installation.

Bottom line is that if you want XP Pro on your system, you're going to have to
either backup your data files and wipe out the XP Home installation or install
XP Pro on a second partition or hard drive and create a multi boot system.

Good luck
