I have been using illegal OEM copy of XP pro. I have purchased a legal non
OEM CD and Product key.
What steps do you take to put the legal copy on the computer? I prefer not
to have to do a clean restore.

Providing the new legit non OEM version is XP Pro then you will need to
perform an in place upgrade or Repair Install. Your illegal version is an
OEM and the new version is non OEM therefore the keys are not
interchangeable.
